1. Purpose · 文件目的

Welcome to TribeRide. These Terms of Service ("Terms") are a binding agreement between you and TribeRide ("the platform," "we") governing your access to and use of the TribeRide platform. By creating an account, joining or publishing an activity, or making a payment through the platform, you agree to these Terms and to the policies referenced in Section 17.

If you do not agree, do not use the platform.

2. What TribeRide Is — and Is Not · 平台性质

TribeRide is a real-world coordination marketplace: technology that helps independent people discover, organize, join, and complete real-world activities (shared rides, stays, meals, coaching, and similar pools).

TribeRide provides technology and matchmaking services only. TribeRide is NOT:

• the organizer, provider, or seller of any activity;
• a transportation carrier, travel agency, hotel or lodging operator, restaurant, food-service establishment, or educational institution;
• an employer of, or joint venturer with, any Host;
• a bank, escrow agent, money transmitter, or holder of user funds (see Section 6).

3. Hosts Are the Sellers · 主办即卖方

The person who publishes and runs an activity (the "Host" / organizer) is the seller and merchant of record for that activity. When you pay to join an activity:

• your contract for the activity itself is between you and the Host, not with TribeRide;
• any paid participation uses an Owner-gated payment path; settlement and refund handling are manual or external until final counsel-reviewed operating terms are approved;
• the Host is responsible for delivering the activity as described, and for complying with the laws that apply to them (licensing, insurance, food safety, tax, and similar obligations).

4. Eligibility and Accounts · 用户资格与账户

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate account information and keep it up to date.
• You are responsible for all activity under your account. One person, one account, unless the platform expressly permits otherwise.
• Certain future features (provider-delivered services, receiving settlement, or deposit-backed flows) may require additional verification and payment-provider onboarding under separate Owner approval and provider terms.

5. Host Obligations · 主办义务

If you publish an activity, you additionally agree that you:

1. will describe the activity, price, deposit terms, and material conditions truthfully and completely before anyone commits;
2. are the seller of record and solely responsible for delivering the activity;
3. hold any license, permit, or insurance required for what you offer (e.g., a valid driver's license and auto insurance for rides; lawful authority to offer the lodging for stays);
4. are responsible for your own taxes on amounts you receive, including any sales, occupancy, or income taxes; the platform does not withhold or remit taxes for you except where the law or the payment processor's reporting rules require;
5. will honor the cancellation and refund commitments in P203, including issuing refunds from your account where P203 requires them;
6. accept that payment disputes, refund review, and chargeback evidence handling remain subject to the final payment/refund policy and any provider path actually approved for the activity.

6. Payments, Fees, and the Non-Custody Structure · 支付、费用与非托管结构

All money terms are governed by P204 Payment & Deposit Policy and P203 Refund & Cancellation Policy. The structural facts, stated here because they shape the whole agreement:

• Payments, when enabled, proceed only through an Owner-gated provider path. The platform never sees or stores your card number.
• The MVP direction is platform collection with manual-or-external settlement first. Selected-provider Connect and ordinary-provider payout automation are later paths, not active default behavior in this build.
• Any platform service fee, including the decided $2.00 per participant pilot figure, must be disclosed before payment when the payment path is enabled.
• The platform does not provide a wallet, stored balance, cash-out surface, or escrow account in this build.
• Deposits are card authorization holds only — no money moves unless a forfeiture condition in P203/P204 is met; otherwise the hold is released.
• The platform does not execute payouts in this build. Any future organizer settlement or provider payout path requires separate Owner approval and counsel-reviewed operating terms.

7. User Conduct · 用户行为

You may not use the platform for: fraud or misrepresentation; harassment, threats, or discrimination; illegal activity of any kind; endangering others (including driving under the influence or operating an unsafe vehicle or premises); circumventing platform payments to avoid fees or safety records; scraping, probing, or disrupting the service; or publishing false, misleading, or infringing content.

8. User Content · 用户内容

You retain rights to your original content. By posting it you grant the platform a non-exclusive, worldwide, royalty-free license to host, display, and process it as needed to operate the service. You are responsible for having the rights to what you post. The platform may remove content that violates its policies.

9. Scenes and Real-World Participation · 活动与现实参与

Participation in real-world activities is your voluntary decision. You are responsible for evaluating the activity, the Host, the other participants, and your own suitability. Real-world activities carry inherent risk. Your participation is subject to the assumption of risk and release in P205 Disclaimer & Risk Acknowledgement, which is incorporated into these Terms.

10. Consent Records · 同意与记录

Material commitments require recorded, versioned acceptance ("clickwrap"): account creation (Terms + Privacy), publishing an activity, joining/paying (money terms + risk acknowledgement), and placing a deposit hold. The platform records which policy version you accepted, when, and in which flow, and will re-prompt on material updates. Acceptance of one flow does not cover another.

11. Platform Actions · 平台措施

To protect the ecosystem the platform may, under its policies: moderate content, restrict features, suspend or terminate accounts, cancel listings, withhold its own service fee, and cooperate with law enforcement. The platform may take temporary protective measures during review (P208). Temporary measures are not findings of fault.

12. Disclaimers and Limitation of Liability · 免责与责任限制

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. THE PLATFORM DOES NOT GUARANTEE ANY ACTIVITY'S OCCURRENCE, QUALITY, SAFETY, LEGALITY, OR OUTCOME, NOR THE CONDUCT OF ANY USER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM'S TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE PLATFORM SERVICE FEES YOU PAID TO THE PLATFORM IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100. THE PLATFORM IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Nothing in these Terms limits liability that cannot be limited by law (including for gross negligence, willful misconduct, or fraud under California law).

中文概要:平台按"现状"提供,不保证活动的发生、质量、安全、合法或结果;平台总责任上限为过去 12 个月向平台支付的服务费或 $100 取高;不承担间接/惩罚性损害。法律不允许限制的责任(重大过失、故意、欺诈)不受本条限制。

13. Indemnification · 赔偿

You agree to defend, indemnify, and hold harmless the platform from claims arising out of (a) your breach of these Terms or the policies, (b) your content, (c) your participation in or hosting of any activity, including personal injury or property damage occurring at or arising from an activity, and (d) your violation of law or third-party rights. Hosts additionally indemnify the platform for claims arising from their role as seller of record, including tax and consumer claims.

14. Dispute Resolution; Arbitration; Class Waiver · 争议解决、仲裁与集体诉讼弃权

• Informal first: contact disputes@triberide.online and allow 30 days of good-faith resolution before formal proceedings.
• Any dispute not resolved informally will be resolved by binding individual arbitration administered by AAA under its consumer rules, in Nevada County, California or remotely.
• Class action waiver: disputes are individual only; no class, collective, or representative proceedings, except public-injunctive-relief claims that cannot be waived under California law.
• Small-claims carve-out: either party may bring an individual claim in small-claims court.
• 30-day arbitration opt-out: new users may opt out by written notice within 30 days of first acceptance.

15. Governing Law · 准据法

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, and applicable U.S. federal law. Venue for non-arbitrable matters: state or federal courts in Nevada County, California.

16. Service Status Disclosure · 试运行状态披露

Honest-state note carried from the platform's engineering constitution: the platform currently operates as a limited pilot / staging preview. Features described as planned in any policy are not promises. This section is removed only when the owner formally declares production status.

17. Policy Framework · 政策体系

These Terms incorporate: P202 Privacy Policy · P203 Refund & Cancellation Policy · P204 Payment & Deposit Policy · P205 Disclaimer & Risk Acknowledgement · P208 Reporting & Dispute Policy · P209 Safety Policy. (P206 Partner & Venue Disclaimer and P207 Content Policy: next batch.) On conflict about money handling, P204 controls; about refunds, P203 controls.

The platform may update these Terms; material updates trigger re-acceptance per Section 10.
